AGREEMENT TO TERMS

These Terms & Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Minit Stop ("Company", "we", "us", or "our"), concerning your access to and use of the https://minitstop.com/ website, the Minit Stop mobile application, and any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Services"). You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Terms & Conditions (“Terms” or “Terms & Conditions”).

IF YOU DO NOT AGREE WITH ALL OF THESE TERMS & CONDITIONS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms & Conditions at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Terms & Conditions, posting revisions on our website at www.minitstop.com/privacy, or within the mobile application. You waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms & Conditions to stay informed of updates.

AGE RESTRICTIONS

Mobile Application: Only individuals thirteen (13) years of age or older may use the Application. Users between the ages of thirteen (13) and eighteen (18) must review these Terms with a parent or legal guardian to ensure that the parent or legal guardian acknowledges and agrees to these Terms. For individuals under 18, we require that a parent or guardian handle online enrollment in the Minit Stop Program.

INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Services are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights.

The Content and the Marks are provided "AS IS" for your information and personal use only. Except as expressly provided in these Terms & Conditions, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

You are granted a limited license to access and use the Services and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use.

USER REPRESENTATIONS

By using the Services, you represent and warrant that:

You have the legal capacity, and you agree to comply with these Terms & Conditions
You are not a minor in the jurisdiction in which you reside (or have proper parental consent)
You will not access the Services through automated or non-human means, whether through a bot, script, or otherwise
You will not use the Services for any illegal or unauthorized purpose
Your use of the Services will not violate any applicable law or regulation

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services.

MINIT STOP PROGRAM

Program Overview

The Minit Stop Program enables customers to enroll, shop at participating merchant locations, and earn points or rewards that can be redeemed for discounts on future purchases. The Program also entitles enrolled customers to participate in giveaways and other promotions. There is no charge to join the Program.

Account Registration and Management

Only registered cards can redeem points
Unregistered cards can continue to earn points, but the card must be registered or linked to an existing user account for those points to become redeemable
Multiple cards can be linked by calling 888.339.7064
A Minit Stop Personal Identification Number (PIN) is required to access your account information

Point Redemption Restrictions

Points cannot be redeemed on the same transaction when paying with EBT.

Account Deletion and Point Expiration

Under the Minit Stop Expiration policy, we reserve the right to de-activate, close an account, and expire points under any circumstances, including, without limitation, the following:

Fraudulent activity occurs
A member requests an account closure
A member is deceased
A member does not respond to repeated communication attempts regarding the status of their account
Account has no activity (points earned or points redeemed) for a period of 12 months

Member Benefits

Enrolled members of the Minit Stop Program may access certain promotional and loyalty features, including:

Eligibility for “Shaka Savings” pricing on selected products and services, exclusive to Program participants.
Fuel benefits when paying with cash:

A discount of $0.05 per gallon at participating locations.
Accrual of $0.03 per gallon in loyalty points.

Participation in rotating Club Programs (e.g., Coffee Club, Deli Club, Monster Club), where a qualifying purchase may contribute toward periodic promotional offers (e.g., complimentary product after a defined number of qualifying purchases).
Accrual of one (1) loyalty point per $1.00 spent on eligible in-store purchases.
Points may be redeemed for eligible in-store purchases in accordance with Program terms.

Exclusions

Loyalty points may not be earned or redeemed on purchases of the following:

Alcohol
Tobacco
Gift Cards
Charitable Contributions

Program Access and Management

Members may access their Program account and benefits by visiting the Minit Stop Rewards webpage, where they can:

Register or link cards to an account
Check point balances
View available member promotions

Company Rights

Minit Stop may change, suspend, or discontinue any aspect of the Minit Stop Program at any time, including but not limited to rewards and point accrual/redemption methods. We may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability. We reserve the right, in our sole discretion, to refuse service, cancel membership, suspend, or terminate any account.

PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make them available. As a user of the Services, you agree not to:

Systematically retrieve data or other content to create or compile a collection, compilation, database, or directory without written permission
Trick, defraud, or mislead us and other users, especially in attempts to learn sensitive account information
Circumvent, disable, or interfere with security-related features
Disparage, tarnish, or otherwise harm us and/or the Services
Use any information obtained from the Services to harass, abuse, or harm another person
Make improper use of our support services or submit false reports
Use the Services in a manner inconsistent with applicable laws or regulations
Use the Services to advertise or offer to sell goods and services
Engage in unauthorized framing of or linking to the Services
Upload or transmit viruses, Trojan horses, or other harmful material
Engage in any automated use of the system
Delete copyright or other proprietary rights notices
Attempt to impersonate another user or person
Sell or otherwise transfer your profile
Upload tracking mechanisms or spyware
Interfere with, disrupt, or create an undue burden on the Services
Harass, annoy, intimidate, or threaten our employees or agents
Attempt to bypass measures designed to prevent or restrict access
Copy or adapt the Services' software
Reverse engineer any software comprising the Services
Use automated systems like spiders, robots, or scrapers
Use a buying agent or purchasing agent to make purchases
Make unauthorized use of the Services, including collecting user information
Use the Services to compete with us or for revenue-generating endeavors

MOBILE APPLICATION SPECIFIC TERMS

End-User License

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, limited, and revocable license to use the mobile application for personal use only on devices you own or control. Any other use is prohibited.

Device and Platform Integration

These Terms incorporate and supplement the terms provided by Apple, Inc. and Google LLC, including their respective app store terms and conditions.

User Information and Security

Application features may use, maintain, or transmit your personal information. You are solely responsible for the confidentiality and security of information sent from or stored by the application on your device. You agree to immediately notify us of any suspected unauthorized transaction or security breach.

Export Regulations

You agree that neither the application nor any technical data related thereto shall be exported in violation of applicable laws and regulations.

USER GENERATED CONTRIBUTIONS

When you create or make available any contributions, you represent and warrant that:

Your contributions do not infringe proprietary rights of any third party
You are the creator and owner or have necessary licenses and permissions
You have consent from any identifiable individuals in your contributions
Your contributions are not false, inaccurate, or misleading
Your contributions are not spam, advertising, or other forms of solicitation
Your contributions are not obscene, violent, harassing, or otherwise objectionable
Your contributions do not advocate violence or threaten physical harm
Your contributions do not violate any applicable law or regulation
Your contributions do not violate privacy or publicity rights
Your contributions do not solicit information from minors or exploit minors
Your contributions do not include offensive comments related to protected characteristics
Your contributions do not otherwise violate these Terms

PRIVACY POLICY

We care about data privacy and security. By using the Services, you agree to be bound by our Privacy Policy posted at www.minitstop.com/privacy, which is incorporated into these Terms & Conditions. Please be advised the Services are hosted in the United States.

We do not sell personal information to any third party
Personal information is used to fulfill Program services and enhance customer experience
You have rights to access, correct, delete, and control your personal information
A PIN is required to access account information or make privacy requests

COMMUNICATIONS

Mobile Communications

By entering your mobile phone number, you agree to receive Minit Stop alerts and mobile offers (maximum of 6 alerts per month). Message and data rates may apply. Text HELP to 313131 for help. Text STOP to 313131 to cancel.

Email Communications

Electronic Communications Generally

Visiting our website, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, and communications we provide electronically satisfy any legal requirement for written communication.

THIRD-PARTY WEBSITES AND CONTENT

The Services may contain links to other websites and third-party content. Such content is not investigated, monitored, or checked by us, and we are not responsible for any third-party websites or content. Any purchases through third-party websites are exclusively between you and the third party.

SITE AND APPLICATION MANAGEMENT

We reserve the right, but not the obligation, to:

Monitor the Services for violations of these Terms
Take appropriate legal action against violators
Refuse, restrict access to, limit availability of, or disable any contributions
Remove files and content that are excessive in size or burdensome to our systems
Otherwise manage the Services to protect our rights and facilitate proper functioning

TERM AND TERMINATION; MODIFICATION OF TERMS

These Terms shall remain in full force and effect while you use the Services. We reserve the right to deny access to and use of the Services to any person for any reason or no reason, including for breach of any representation, warranty, or covenant contained in these Terms.

If we terminate or suspend your account, you are prohibited from registering and creating a new account under any name. We reserve the right to take appropriate legal action, including pursuing civil, criminal, and injunctive redress.

We further reserve the right to amend, modify, or otherwise alter these Terms at any time and upon no prior notice.

MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We cannot guarantee the Services will be available at all times and may experience interruptions, delays, or errors. You agree that we have no liability for any loss, damage, or inconvenience caused by your inability to access or use the Services during downtime.

GOVERNING LAW

These Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Washington, without regard to conflict of law principles.

DISPUTE RESOLUTION

Binding Arbitration

Disputes will be finally and exclusively resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA) and AAA Consumer Rules. The arbitration will take place in Seattle, Washington.

Class Action Waiver

You and we agree that each may bring claims against the other only in individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Exceptions to Arbitration

The following disputes are not subject to binding arbitration:

Disputes seeking to enforce or protect intellectual property rights
Disputes related to allegations of theft, piracy, invasion of privacy, or unauthorized use
Claims for injunctive relief

Time Limitation

No dispute may be commenced more than one (1) year after the cause of action arose.

DISCLAIMERS

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICES.

OUR LIABILITY TO YOU WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING OR $1,000.00 USD.

INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand made by any third party due to or arising out of:

Your use of the Services
Breach of these Terms
Your violation of the rights of a third party
Any harmful act toward another user

CORRECTIONS

We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time, without prior notice.

MISCELLANEOUS

These Terms constitute the entire agreement between you and us. Our failure to exercise any right shall not operate as a waiver. If any provision is determined to be unlawful or unenforceable, that provision is deemed severable and does not affect the validity of remaining provisions.
